KEYNDOOR LLC – TERMS OF SERVICE / USE AGREEMENT

Welcome to Keyndoor LLC (“Keyndoor,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of www.keyndoor.com (the “Site”) and any related listings, communications, tools, or digital services (collectively, the “Services”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). If you do not agree, do not use our Services.

1. Eligibility and Use
You must be 18 or older and legally able to contract. You agree not to:
• Violate any law, regulation, or Fair Housing rule
• Post false or misleading information
• Copy, scrape, or reproduce Site content
• Interfere with Site operation or security
• Use the Site to send spam or solicit competitors’ business
We may suspend or terminate your access at any time for misuse or violation of these Terms.

2. Brokerage Services and Fair Housing
Keyndoor is a licensed New York real-estate brokerage. All property information is for informational purposes only and may change without notice. No listing, description, or discussion constitutes an offer or guarantee of sale, lease, or performance.
Fair Housing Commitment: Keyndoor adheres to the Fair Housing Act, New York State Human Rights Law, and all applicable anti-discrimination laws. We do not discriminate based on race, color, religion, sex, disability, familial status, national origin, sexual orientation, gender identity, age, lawful source of income, or any other protected category.

3. Account Registration
Certain features may require an account. You agree to provide accurate information and safeguard your credentials. You are responsible for all activity under your account.

4. Listings and User Content
When you submit property data, photos, or other content, you represent that you have legal rights to post it. You grant Keyndoor a non-exclusive, royalty-free, worldwide license to display, market, and distribute the content for real-estate or promotional purposes. We may remove or edit content violating law or these Terms.
Prohibited content includes:
• False, misleading, or discriminatory information
• Defamatory, obscene, or fraudulent material
• Copyrighted material posted without authorization

5. Referral and Affiliate Relationships (RESPA Compliance)
Not a Lender or Settlement Service Provider: Keyndoor LLC is a licensed New York real-estate brokerage and is not a mortgage lender, mortgage broker, title company, escrow company, or other “settlement service provider” as defined under the Real Estate Settlement Procedures Act (RESPA), 12 U.S.C. § 2601 et seq. Loans, credit, and other financial products referenced on the Site are offered solely by independent third-party providers (“Providers”).
No Required Use: You are under no obligation to use, apply with, or obtain services from any Provider referenced or introduced by Keyndoor. You are free to select any lender, financial institution, or settlement service provider of your choice.
Permissible Compensation: In certain instances, Keyndoor may receive a lawful marketing or referral fee from a Provider only if such fee is permitted under RESPA § 8 and corresponding CFPB regulations (12 C.F.R. Part 1024) and only for bona fide services actually performed or through a disclosed marketing services agreement that complies with applicable law. Keyndoor does not receive any payment or thing of value for the mere referral of business related to a federally related mortgage loan.
Disclosure of Relationships: When Keyndoor has an ownership interest, marketing-service agreement, or other business relationship with a Provider that may present a potential conflict of interest, Keyndoor will provide you with a written Affiliated Business Arrangement Disclosure in the form and manner required by RESPA before any referral is made or service is performed.
No Endorsement or Warranty: Providers operate independently and are solely responsible for their products, rates, disclosures, and regulatory compliance. Keyndoor does not guarantee or warrant any Provider’s terms, performance, or outcomes.
Information Sharing: By requesting a referral or submitting an inquiry, you authorize Keyndoor to share your name, contact information, and general request details with Providers so they may contact you directly regarding your inquiry. Such sharing occurs only with your consent and in accordance with our Privacy Policy.
Compliance Statement: Keyndoor complies with all applicable provisions of RESPA (12 U.S.C. § 2601 et seq.), Regulation X (12 C.F.R. Part 1024), the Federal Trade Commission Act, the Fair Housing Act, and all New York State real-estate and advertising regulations. Any compensation received by Keyndoor in connection with referrals or marketing arrangements is structured and disclosed in accordance with those laws.

6. Intellectual Property
The Site and all materials (text, graphics, logos, code, and design) are owned or licensed by Keyndoor and protected under U.S. and international copyright and trademark law. You may view or print materials for personal, non-commercial use only. You may not reproduce, redistribute, or create derivative works without written consent.

7. Third-Party Links and APIs
Our Site may link to or integrate with third-party tools such as Google Maps or other partner sites. We are not responsible for their accuracy, policies, or data practices. Your use of those services is governed by their respective terms.

8. No Legal, Tax, or Financial Advice
Content on this Site is for general informational purposes only and does not constitute legal, tax, investment, or financial advice. Consult appropriate professionals before making decisions.

9. No Fiduciary Duty Absent Written Agreement
Unless we sign a state-mandated brokerage or agency agreement, no fiduciary, agency, or confidential relationship is created by your use of this Site.

10. Limitation of Liability
To the maximum extent permitted by law:
• Keyndoor and its officers, employees, or agents shall not be liable for any indirect, consequential, punitive, or special damages
• Our total aggregate liability shall not exceed the greater of (a) the fees you paid to Keyndoor in the 12 months preceding the claim or (b) $100

11. Indemnification
You agree to indemnify and hold harmless Keyndoor LLC and its principals, brokers, and employees from all claims, damages, or expenses arising from:
• Your use of the Site
• Your violation of these Terms
• Your infringement of any rights of others

12. Privacy and Data Handling
Your use of the Site is governed by our Privacy Policy, which explains how we collect, use, share, and protect data—including sharing with referral partners. Please review it carefully before submitting personal information.

13. Arbitration and Class Action Waiver (Optional)
You agree that any dispute arising from these Terms or the Services will be resolved by binding arbitration under the American Arbitration Association’s Consumer Rules in New York County, NY. You waive any right to a jury trial or to participate in a class or representative action. Judgment on the award may be entered in any court of competent jurisdiction.

14. DMCA Copyright Policy
If you believe content on our Site infringes your copyright, please email jacob@keyndoor.com with:
• Your contact information
• Identification of the work and material in question
• A statement of good-faith belief and authorization to act
We will promptly investigate and remove material as appropriate.

15. Feedback and Submissions
You may submit feedback or suggestions. By doing so, you assign Keyndoor all rights to use and incorporate such feedback without obligation or compensation.

17. Governing Law and Venue
These Terms are governed by the laws of the State of New York. Any dispute shall be brought exclusively in the state or federal courts of New York County, NY, unless arbitration is mandated above.

18. Miscellaneous
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Keyndoor. Severability: If any clause is invalid, the rest remains in effect. Assignment: We may assign our rights; you may not without written consent. No Waiver: Failure to enforce any provision is not a waiver. Headings: For convenience only and not interpretive.
